1About these terms
- These terms are an agreement between you (the "partner") and Saywell Technologies, a sole proprietorship registered with the Department of Trade and Industry (DTI) of the Philippines, of 22 Narangita Street, Dadiangas South, General Santos City 9500, Philippines ("Saywell", "we").
- They apply when you accept them in your application, and they cover the Saywell Partners program.
- The partner guidelines on the Saywell Partners page and in your Partners Portal are part of these terms.
2Joining the program
- You apply through the Saywell Partners page. We review every application and reply within 24–48 hours. We may approve or decline an application at our discretion.
- To join, you must be based in the United States, at least 18, able to receive a Wise bank transfer, and able to enter into a binding agreement.
- Your approval is personal to you. You may not transfer your partner account or share your Partners Portal sign-in.
- You may not refer your own practice, or a practice you own or co-own. These referrals earn no commission.
3Your link and tracking
- When you're approved, we create your partner code from your first name, and your personal referral link: hellosaywell.com/?ref= followed by your code (for example, hellosaywell.com/?ref=dana). If another partner already uses your first name, we add the first letter of your last name (for example, ?ref=danab). A practice is credited to you when it becomes a founding member under the rules below.
- Your code comes first. If a practice enters your partner code in the claim form, it is credited to you.
- Otherwise, the most recent click counts. A click on your link is credited to you for 60 days. If the practice later clicks another partner's link within that time, the most recent click is credited.
- If it's still unclear, the practice decides. We ask the practice who introduced them to Saywell, and their answer decides. We explain the outcome to every partner involved.
- A practice that was already in conversation with Saywell before it clicked your link or used your code is not credited to you.
4Your commission
- You earn 20% of each founding membership payment Saywell receives from a practice credited to you.
- We calculate commission on the full payment amount. We do not deduct Saywell's own payment or transfer fees.
- A practice reserves its start week with its first payment, or by paying in full. That payment earns commission like any other.
- Example: a practice that pays $2,499 in full earns you $499.80. A practice that pays 4 × $625 earns you $125 on each payment, $500 in total.
- Commission does not apply to taxes, refunded amounts, or services outside the founding membership, unless we agree otherwise in writing.
5How and when you're paid
- We pay by Wise transfer, in US dollars, to the US bank account you add in your Partners Portal.
- We pay your commission within 3 business days of each payment clearing in Saywell's account.
- The commission on a practice's first payment is paid within 3 business days of that practice's first revision round being complete. From then on, refunds no longer apply to that practice.
- There is no minimum payout. Every commission is paid in full.
- Saywell pays the Wise transfer fee. Any fee charged by your own bank, or by a currency conversion you choose, is yours.
- If a payout fails because your bank details are wrong or out of date, we will retry once you update them. We are not responsible for delays caused by incorrect details.
6Missed payments, refunds and reversals
- If a practice misses a payment, the commission on that payment is paused. If the practice pays later, we pay your commission within 3 business days.
- If a practice stops paying altogether, commission stops with it. You keep every commission already paid.
- If a practice is refunded under Saywell's guarantee, the commission on the refunded payment is reversed. Because first-payment commissions are held until refunds no longer apply, this should rarely affect money you have received.
- If we ever pay a commission that is later reversed, we deduct it from your future commissions. We will not ask you to repay it unless the referral involved fraud or a breach of these terms.
7Your partner dashboard
- Your Partners Portal shows your referrals, their plans, the payments they have made, your commission on each payment, its status, and every payout with its Wise reference.
- The dashboard is your statement. If something looks wrong, tell us within 60 days of the payout or payment in question, and we will review it and correct any error.
- We sign you in with a one-time link sent to your email. Keep access to your email secure.
8Privacy and client information
- We show you a practice's name only if that practice has agreed to share it. Otherwise you see a referral number, with every payment and commission still shown.
- Saywell never shares information about a practice's own clients with you, and you must never share or ask for any client information, including health information, with us or with a practice.
- Keep anything you see in your dashboard about a practice confidential, and use it only to follow your referrals.
- We handle your personal information as described in Saywell's Privacy Policy. You add and change your bank details in your Partners Portal. They are passed securely to Wise, which sends your payouts, and Saywell keeps only your bank name and the last 4 digits. Any change is confirmed with a code sent to your email.
9How you may promote Saywell
- Disclose your commission, clearly. Every time you share your link or recommend Saywell, say plainly that you earn a commission, close to the link and in words people will notice. For example: "I recommend Saywell, and I earn a commission if you join through my link." On social media, "#ad" or "#affiliate" may be added, but not instead of a plain sentence hidden among other hashtags. We follow the US Federal Trade Commission's Endorsement Guides, and we may review your posts and ask you to fix a disclosure.
- Be accurate. Describe Saywell using the facts on our pages and in your partner kit. Do not promise rankings, results, bookings, new clients or revenue, and never make claims about clinical outcomes.
- Describe Archie accurately. Archie, an AI assistant, makes everyday changes; our team runs the SEO and builds bigger jobs; and the practice approves every change before it goes live.
- Email only people who know you. Send emails about Saywell only to people you already have a relationship with, or who asked to hear from you. Every marketing email must show who it is from, include a way to unsubscribe, and have an honest subject line, as US anti-spam law (CAN-SPAM) requires.
- No cold texts or calls. Do not text or call anyone about Saywell unless they asked you to contact them that way. US law (the TCPA) and several state laws strictly limit marketing texts and calls.
- No spam. Do not mass-message, buy lists, or add people to lists without their consent.
- No brand bidding or impersonation. Do not bid on "Saywell" or close variations in search ads, register look-alike domains or accounts, or present yourself as Saywell or its staff.
- No invented offers. Do not create discounts, deadlines or urgency that are not on our pages.
- Therapists: refer colleagues and other practices only, never your own therapy clients.
- Use approved materials. Use the images and wording in your partner kit, or your own honest words. Ask us before running paid ads that mention Saywell.
10Using Saywell's name and brand
- While you are a partner, you may use the Saywell name, logos, Archie artwork and partner-kit materials to promote Saywell under these terms. This permission is limited, non-exclusive and can be withdrawn.
- Do not change the logos or Archie, combine them with your own brand in a way that suggests a joint product, or use them after you leave the program.
11Our relationship
- You are an independent partner, not an employee, agent or representative of Saywell.
- You cannot make promises, sign agreements or accept payments on Saywell's behalf.
- You may promote other services, including competing ones, as long as you follow these terms when you promote Saywell.
12Taxes
- You are responsible for reporting and paying any taxes on your commissions.
- Saywell pays your commission in full. We do not deduct Philippine taxes from it.
- Your partner dashboard records every payout, and you can download a yearly earnings statement.
- If we ever need tax information from you, we will ask first, explain why, and collect it securely.
13Changes to these terms
- We may change these terms or the program by giving you at least 30 days' notice by email and in your Partners Portal.
- Changes never reduce commission already earned. Practices you referred before a change keep the commission terms that applied when they joined, for the rest of their founding membership.
- If you do not agree with a change, you can leave the program before it takes effect, under term 14.
14Ending the partnership
- You or Saywell can end your partnership at any time by email.
- If either of us ends it for any reason other than a breach of these terms, we keep paying your commission on future payments from practices you already referred, for the rest of their founding membership.
- If we end it because you seriously breached these terms (for example spam, misleading claims, missing disclosures, fraud or self-referrals), we may withhold commission connected to the breach. We will explain what we are withholding and why.
- When the partnership ends, stop using your link and Saywell's brand materials. Your dashboard stays available for as long as commissions are still due.
15The founding round
- The 20% commission applies to founding memberships while founding spots remain.
- When the founding spots are filled, you keep earning 20% on every remaining founding payment from the practices you referred.
- Founding renewals. When a practice you referred renews after its 24-month founding membership, you earn 10% of the payments in its first renewal year.
- Future plans. When Saywell launches new plans, you earn 20% of the payments a new referral makes in its first 12 months on any plan.
- Commission on renewals and future plans follows the same payout, pause and reversal rules as founding payments.
16Limits of liability
- The program is provided as it is. We do not promise that you will earn any particular amount.
- Each party's total liability to the other under these terms is limited to the greater of the commissions paid or owed to you in the 12 months before the claim, or US$1,000.
- Neither of us is liable to the other for indirect losses, such as lost profits or lost opportunities.
- These limits do not apply to fraud, a breach of confidentiality (term 18), your responsibility for your own promotion (term 17), or liability that cannot be limited by law.
17Responsibility for your promotion
- You are responsible for how you promote Saywell. If your promotion breaks the law or these terms (for example missing disclosures, spam or misleading claims) and a claim is made against Saywell because of it, you agree to cover Saywell's reasonable costs of that claim.
18Confidentiality
- Information we share with you that is not public, such as dashboard data, upcoming plans or partner-only materials, is confidential. Do not share it except as needed to follow your referrals.
19Governing law and disputes
- These terms are governed by the laws of the Republic of the Philippines. Nothing in these terms removes a protection you have under a law of your US state that cannot be waived by agreement.
- Talk first. If we disagree about something, we will try to resolve it together by email or video call within 30 days.
- Then online mediation. If that does not work, either of us may ask for mediation, held online and in English.
- Then online arbitration. If mediation does not resolve it, the dispute is settled by arbitration with one arbitrator, held online and in English, under the rules of the Philippine Dispute Resolution Center, Inc. (PDRCI). Neither of us has to travel.
- Each of us pays our own costs unless the arbitrator decides otherwise. Disputes are handled individually, not as part of a group or class action.
20General
- These terms, the partner guidelines and Saywell's Privacy Policy are the whole agreement about the program.
- How you sign. You accept these terms electronically: by ticking the box in your application, then by typing your full name and selecting Sign when you first sign in to your Partners Portal. Your typed name is your electronic signature and has the same effect as a handwritten one, under the US Electronic Signatures in Global and National Commerce Act (E-SIGN Act) and the Philippine Electronic Commerce Act (Republic Act No. 8792). We record your typed name, email, the date and time, the terms version and your sign-in, and email you a signed copy. If the terms change, we ask you to sign the new version. You can ask us for a paper copy at any time.
- We send notices by email to the address in your partner account. You can reach us at hello@hellosaywell.com.
- If any part of these terms cannot be enforced, the rest still applies.
- Saywell may transfer these terms to a company that takes over the Saywell business, including a company Saywell forms. Your commission rights for practices you referred continue.
