1Who's agreeing

  1. This agreement is between Saywell Technologies, a sole proprietorship registered with the Department of Trade and Industry (DTI) of the Philippines, of 22 Narangita Street, Dadiangas South, General Santos City 9500, Philippines ("Saywell", "we"), and the practice named in the signature section ("you").
  2. It covers the Saywell Founding Membership. Saywell's Privacy Policy is part of it.

2What's included

  1. Your website: a custom website of up to 25 pages, designed, written and built to rank, with HIPAA-ready intake forms and privacy-friendly analytics.
  2. Your brand: a custom logo and brand guidelines.
  3. Your Google Business Profile, optimized.
  4. A year of SEO and content: 8 researched articles a month for 12 months (96 in total), technical and on-page SEO, 24 page improvements, and monthly reports.
  5. Extra pages: up to 5 additional pages in year one, each built within 72 hours of receiving your details.
  6. 24 months of care: hosting, security, updates and maintenance.
  7. Edit requests: 10 a month in year one and 15 a month in year two, made through your Clients Portal (term 6).
  8. Quick switches: change your fees, hours, availability, new-client status and holiday notices yourself at any time, at no cost.
  9. Practice notices: a crisis notice (988 and emergency guidance), a Good Faith Estimate notice for self-pay clients, and licensure details, as your practice needs.
  10. Your Clients Portal, with Archie, our AI assistant, who makes your everyday changes, and our team for bigger jobs.
  11. Ownership and offboarding as described in term 11.

3Price and payments

  1. The founding membership costs US$2,499 for 24 months. You can pay in full, or in 4 monthly payments of US$625.
  2. Reserving your week: your start week is reserved when your payment in full, or the first of your 4 payments, reaches us. You can also confirm with us by phone or in person; we reserve your week and send the invoice. Everything you have paid is fully refundable until your kickoff call.
  3. You pay by bank transfer in US dollars to the account details on your invoice. We never ask for card numbers by email or phone, and we will never change our payment details without telling you in writing first.
  4. Pay in full: due before your kickoff call. 4 payments: the first is due before your kickoff call, and each of the other three is due on the same date in each following month.
  5. Prices do not include any taxes or bank fees charged by your own bank.

4The 7-day build

  1. When the 7 days start: on the day your onboarding is complete. That means your onboarding questionnaire is submitted, your kickoff call has taken place, your photos are sent (or you have told us to go ahead without them), and the access invites we need are in place.
  2. Day 6, your review: we show you your complete website, brand and content. You look through it and send any notes, in writing or as a voice memo. This takes about 20 minutes.
  3. Day 7, you're live: we publish your website on your domain.
  4. Notes we can't finish by day 7 are carried into your first revision round, on your live website (term 5).
  5. If your domain isn't ready: if we don't yet have the access we need to your domain by day 7, we publish your website on a temporary Saywell address that day, and move it to your domain as soon as access is in place. This counts as going live.
  6. Your time: about an hour in total.
  7. Our guarantee: if your website is not live within 7 days for reasons on our side, you get a full refund of everything you have paid.
  8. Days spent waiting on information, approvals or access from you do not count toward the 7 days.

5Revision rounds

  1. After launch, you get 4 rounds of revisions within 30 days, made on your live website. We show you each round's changes in a preview and publish them once you approve.
  2. Round 1 includes a strategy session with our team, to help you decide what you want from your website. You can also send your notes in writing.
  3. We suggest about a week per round. Gathering all your notes for a round and sending them together gets the most out of each one. This is a suggestion, not a requirement.
  4. A round is complete when we have made the changes in it and shown you the result.
  5. After 4 rounds, or 30 days after launch, whichever comes first, further changes use your monthly edit requests (term 6). Unused rounds do not carry over.

6Edit requests after launch

  1. You make requests by typing or speaking them in your Clients Portal. Archie, our AI assistant, makes everyday changes, usually within minutes, and you approve a preview before it goes live. Larger work, such as new pages or connecting third-party tools, is done by our team.
  2. A request is one outcome, not one message. If a change isn't right yet, we keep working on it at no extra cost until it matches what you asked for. If you change your mind after approving it, that's a new request.
  3. How requests count:
    Kind of changeExamplesCounts as
Quick switchFees, hours, availability, new-client status, holiday noticeFree
Small changeRewrite a paragraph, swap a photo, add an FAQ, update a bio1 request
Larger changeA new section, or restructuring a page2 requests
New pageA new service or location pageUses your extra-page allowance in year one, otherwise 2 requests
Out of scopeA redesign, new integrations, booking systems, online storesQuoted separately
  4. Archie tells you how a request will count before you confirm it.
  5. Unused requests do not carry over to the next month.

7Your part

  1. Give us accurate information about your practice, credentials and licensure, and tell us when anything changes.
  2. During your build week, reply to drafts within about one business day where you can.
  3. Make sure you have the right to use any photos, logos or text you give us.
  4. Never send us information about your own clients, including health information, through the portal, email or any other channel.
  5. Keep access to your email and portal secure.

8Clinical content and AI

  1. You approve anything clinical. You review and approve every description of your services, methods, specialties and qualifications before it is published. You are responsible for making sure it fits your licence and your professional rules.
  2. We write in your voice and avoid claims about clinical outcomes. We do not include client testimonials on your website.
  3. How we use AI. Archie, our AI assistant, makes everyday changes to your website, and AI tools help our team research and draft your content. Our team sets your SEO strategy and edits every article, and nothing is published without your approval.

9Refunds

WhenWhat happens
Before your kickoff callEverything you have paid is refunded in full if you ask
Your website is not live within 7 days, for reasons on our sideA full refund of everything you have paid
After launch, before round 1 is completeYou may cancel for a full refund
After round 1 is completeNo refunds. The work has been delivered.
  1. Refunds are paid by bank transfer within 10 business days.
  2. If you are refunded, we take the website offline. The design, copy, logo and brand assets stay with Saywell and are not used for anyone else. Your domain stays yours.

10If you go quiet or miss a payment

  1. The timeline pauses while we wait for you. If we need information or an approval and don't hear from you for 14 days after a delivery, that stage counts as approved and we move on.
  2. Missed payments. If a payment is late, we send a friendly reminder. If it is still unpaid 14 days after the due date, we pause edits, SEO and content until you catch up, after telling you in writing.
  3. Your website stays online for 30 days after a pause. If the payment is still outstanding after that, we may take it offline until you pay.
  4. If you choose 4 payments, you agree to make all 4. Ownership under term 11 transfers only when all payments are made.

11Ownership and leaving

  1. Your domain is yours from day one, registered in your name or transferred to you.
  2. Your website is 100% yours after 12 months, as long as all payments are made. That includes the design, copy, images we created, your logo and brand guidelines, and the site's code and content. Until then, you have full use of it as part of your membership.
  3. Saywell's own platform, the Clients Portal, Archie and our internal tools stay ours. You get a permanent licence to any shared building blocks used in your website.
  4. Leaving. Whenever you choose to leave after month 12, we provide a complete export, hand over your domain and DNS, move your website in an SEO-safe way that keeps your page addresses and redirects, give you documentation, and hold a handover session with you or your new provider.

12Hosting, care and renewal

  1. We host, secure, update and maintain your website for 24 months from launch. We aim for your website to be online at all times, but brief interruptions can happen.
  2. Your year of SEO and content runs for 12 months from launch.
  3. After 24 months, you can renew at the founding renewal rate of $99 a month, which continues your hosting, care and 15 edits a month as in year two; move your website elsewhere under term 11, or simply leave. We will tell you your options at least 30 days before your 24 months end.

13Privacy and HIPAA

  1. We handle your personal information as described in Saywell's Privacy Policy.
  2. Saywell does not receive, store or process your clients' protected health information. Intake and contact forms on your website run through a HIPAA-compliant provider that signs a business associate agreement directly with you, and submissions go to you.
  3. Because Saywell never handles client information, Saywell is not your business associate. If client information reaches us by mistake, we delete it and tell you.
  4. We keep your practice information confidential, and use it only to provide your membership.

14If a partner referred you

  1. If you joined through a Saywell partner's link or code, that partner earns a commission on your membership payments.
  2. What the partner sees: that you signed up, your plan, the dates and amounts of your membership payments, and the status of your website (for example "in revision" or "live"). This lets them follow their commission.
  3. Your practice name is shown to the partner only if you agree, by ticking the box in your onboarding questionnaire. You can change your mind at any time by telling us.
  4. Partners never see your Clients Portal, your edit requests, or anything about your own clients.

15What we can't promise

  1. Search rankings depend on many things outside anyone's control. We do not guarantee any ranking, traffic, enquiries, bookings or revenue.
  2. SEO results build over months, not weeks.

16Limits of liability

  1. Saywell's total liability to you under this agreement is limited to the amount you paid in the 12 months before the claim.
  2. Neither of us is liable to the other for indirect losses, such as lost profits or lost opportunities.
  3. Nothing here limits liability that cannot be limited by law, or liability for fraud.

17Governing law and disputes

  1. This agreement is governed by the laws of the Republic of the Philippines. Nothing in it removes a protection you have under a law of your US state that cannot be waived by agreement.
  2. If we disagree, we will first try to resolve it together within 30 days. If that does not work, either of us may ask for online mediation in English, and then for online arbitration in English with one arbitrator, under the rules of the Philippine Dispute Resolution Center, Inc. (PDRCI). Neither of us has to travel.

18General

  1. This agreement and the Privacy Policy are the whole agreement about your founding membership.
  2. Changes to this agreement must be agreed by both of us in writing.
  3. We send notices by email to the address you gave us. You can reach us at hello@hellosaywell.com.
  4. If any part cannot be enforced, the rest still applies.
  5. Saywell may transfer this agreement to a company that takes over the Saywell business, including a company Saywell forms. Your rights under it continue.
  6. Signing electronically. You sign this agreement electronically, in the section below. Your typed name is your electronic signature and has the same effect as a handwritten one, under the US E-SIGN Act and the Philippine Electronic Commerce Act (Republic Act No. 8792).
